Terms of Service

These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you") and Smartpath and Associates ("Company", "we", "us", or "our"), concerning your access to and use of the ModuLynx platform.

Access to the Service is granted via organizational licenses. Each organization is responsible for the actions of its authorized users. You agree to maintain the confidentiality of your credentials and notify your organizational administrator if unauthorized access is suspected.

We strive to maintain a 99.9% uptime for the ModuLynx platform. Scheduled maintenance will be communicated at least 24 hours in advance. Emergency maintenance may be performed without notice to protect platform integrity and security.

• Reverse engineering or attempting to extract the source code.
• Sending automated queries or scraping platform data.
• Using the platform for any illegal activities or data hosting.
• Circumventing organization-level access controls or tenant logic.

The platform architecture, logic, and interface are the exclusive property of Smartpath and Associates. Your organization retains full ownership of any data (files, records, bids) uploaded to the platform in accordance with our Data Processing Agreement.

To the maximum extent permitted by law, Smartpath and Associates shall not be liable for any indirect, incidental, or consequential damages. Our total liability for any claim arising out of these terms is limited to the amount paid by your organization in the 12 months preceding the claim.
